AllSync License Agreement

This license agreement is a legally binding contract between you (as an individual or company) and MTSD for the above-mentioned software product. By installing the software product, you agree to all terms of this license agreement. If you do not agree to the terms of this license agreement, you are not permitted to install or use the software product. The software product is protected by copyright laws, international copyright treaties, and other laws protecting intellectual property.

1. Subject of the Agreement
The subject of the agreement is the computer program and documentation, collectively referred to as the software. MTSD points out that, according to the current state of technology, it is not possible to create software that functions error-free under all conditions. The subject of the agreement is therefore software that is generally usable as described in the documentation.

2. Grant of License
MTSD grants you, for the duration of this agreement, a simple, non-exclusive, and personal right (hereinafter referred to as license) to install and use one copy of the software on a computer. Any use beyond this is not permitted.
2.1. License Quantity
One license is required for each user of the software to transfer data between two devices with different IP addresses. For each additional device with its own IP address, the license quantity for the user must be increased by one.
2.2. Installation and Use
2.2.1. License Use by an Individual
The license holder may install and use the software on multiple computers, provided it is not run simultaneously on more than one computer at any time.
2.2.2. License Use by Multiple Individuals
The software may be installed and used by multiple individuals on different computers, in accordance with the license quantity defined in section 2.1.
2.3. AllSync Home Edition
The Home Edition may only be installed and used on the license holder’s personal computer for private purposes. For commercial or non-private use, the Professional or Business Edition must be purchased.
2.4. AllSync Demo Version
You have the right to test the demo version of the software free of charge and without obligation for 21 days to check compatibility with your hardware and software environment. After this trial period, you must purchase a license to continue using the software.

3. Description of Additional Rights and Restrictions
The license holder is prohibited from:
(a) modifying, translating, reverse engineering, decompiling, or disassembling the software without prior written consent from MTSD.
(b) creating derivative works from the software or duplicating, translating, modifying, or creating derivative works from written materials.
(c) making the software and personal license data accessible to third parties.
(d) removing or altering copyright notices on copies of the software.
(e) distributing, renting, leasing, or lending the software.
The license holder is obligated to use the software only in accordance with all applicable laws.

4. Ownership of Rights
All ownership rights, including copyright, to and in the software and all copies thereof remain with MTSD. All rights not expressly granted herein are reserved by MTSD. By purchasing a license, you acquire only the right to use the software in accordance with this agreement. No ownership rights to the software itself are transferred. MTSD specifically reserves all rights to publish, reproduce, modify, and exploit the software.

5. Reproduction
The software and accompanying written materials are protected by copyright. You may make the necessary copies of the software for backup and archival purposes. Each backup copy must include or incorporate MTSD’s copyright notice. Any copyright notice embedded in the software must not be removed. It is expressly prohibited to copy or otherwise reproduce the software or written materials in whole or in part in original, modified, or combined form with other software. You may freely duplicate the installation files of the demo version, provided you always distribute exact copies and do not modify them. You may not charge fees for such duplication or distribute the product in connection with other products unless you have obtained prior written permission from MTSD.

6. Duration of Agreement
The agreement is valid indefinitely. However, the license holder’s right to use the software automatically terminates without notice if any condition of this agreement is violated. Upon termination of the usage rights, you are required to destroy the software along with all copies and all electronic and written materials related to the software.

7. Damages for Breach of Contract
MTSD points out that you are liable for all damages resulting from copyright violations caused by breach of this agreement.

8. Changes and Updates
MTSD reserves the right to create updates to the software at its own discretion. MTSD is not obligated to provide such updates to license holders who have not registered the software with MTSD or have not paid the update fee. Any additional software code provided to you as an update is considered part of the software and subject to the terms of this license agreement.

9. Warranty and Liability of MTSD
9.1. Due to the reasons stated in section 1, MTSD assumes no liability for the software being error-free. In particular, MTSD does not guarantee that the software meets the purchaser’s requirements or works with other programs selected by the purchaser. The purchaser is responsible for selecting the software correctly and for the consequences of its use. The same applies to the accompanying documentation. If the software is not generally usable as described in section 1, the purchaser has the right to cancel the agreement. MTSD has the same right if creating usable software is not possible with reasonable effort.
9.2. MTSD is not liable for damages unless caused by intent or gross negligence on the part of MTSD. For merchants, liability for gross negligence is also excluded. Liability for any characteristics expressly warranted by MTSD remains unaffected. Liability for consequential damages not covered by the warranty is excluded.
